ACCEPTANCE OF THESE TERMS
These Terms of Use (these “Terms”) govern your access to and use of the website located at www.chasmpartners.com, including any content, functionality, and services offered on or through the website and all affiliated websites and subdomains (collectively, the “Site”), which is owned and operated by Chasm Partners, LLC (“Chasm Partners,” “we,” “us,” or “our”). By accessing or using the Site, you accept and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.
ABOUT CHASM PARTNERS
Chasm Partners is a retained executive search and talent advisory firm. The Site is provided for general informational purposes, including to describe our firm, our services, and our team, and to allow visitors to contact us. Nothing on the Site constitutes an offer to provide services, and no engagement, client, or advisory relationship is created by your use of the Site. Our search and advisory services are provided solely pursuant to a separately executed written agreement between Chasm Partners and a client.
PERMITTED USE OF THE SITE
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
(a) Use the Site in any way that violates any applicable federal, state, local, or international law or regulation;
(b) Use any robot, spider, scraper, or other automated means to access the Site or to copy, harvest, or extract any content or data from the Site, including information about our team, clients, or candidates;
(c) Attempt to gain unauthorized access to, interfere with, damage, or disrupt any portion of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site;
(d) Introduce any viruses, trojan horses, worms, or other material that is malicious or technologically harmful;
(e) Impersonate or attempt to impersonate Chasm Partners, a Chasm Partners employee, another user, or any other person or entity; or
(f) Use the Site to transmit any advertising or promotional material without our prior written consent, including any “junk mail,” “chain letter,” “spam,” or similar solicitation.
We reserve the right to terminate or restrict your access to the Site, in our sole discretion and without notice, for any violation of these Terms.
INTELLECTUAL PROPERTY
The Site and its entire contents, features, and functionality (including all information, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Chasm Partners, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, trade secret, and other intellectual property or proprietary rights laws. The Chasm Partners name and logo, and all related names, logos, product and service names, designs, and slogans, are trademarks of Chasm Partners or its affiliates. You must not use such marks without our prior written permission. You may view, download, and print materials from the Site solely for your personal, non-commercial use, provided you do not modify the materials and you retain all copyright and other proprietary notices contained in them.
NO PROFESSIONAL ADVICE
The content on the Site is provided for general informational purposes only. It does not constitute, and should not be relied upon as, legal, financial, tax, human resources, career, or other professional advice. You should consult appropriate professional advisors before making any decision based on information found on the Site.
CANDIDATE SUBMISSIONS AND UNSOLICITED MATERIALS
If you submit a resume, curriculum vitae, biography, or other career-related information to us through the Site or otherwise (a “Submission”), you represent that the information you provide is accurate and that you have the right to provide it. You acknowledge and agree that:
(a) A Submission does not create any obligation on the part of Chasm Partners to contact you, consider you for any position, present you to any client, or provide you with any placement, career, or advisory services;
(b) Chasm Partners acts on behalf of its client organizations, not on behalf of individual candidates, and no agency, fiduciary, or contractual relationship is created between you and Chasm Partners by reason of a Submission;
(c) Chasm Partners may retain, use, and share your Submission with its clients and service providers in connection with current or future search engagements, consistent with our Privacy Policy; and
(d) No fee, commission, or other compensation shall be due to you or to any third party (including any recruiting or staffing agency) as a result of a Submission or of any subsequent introduction, referral, or placement, absent a separately executed written agreement with Chasm Partners.
Any other ideas, suggestions, or materials you send to us that are not career-related Submissions will be considered non-confidential and non-proprietary, and we may use them for any purpose without compensation to you.
SMS AND TEXT MESSAGING TERMS
By providing your mobile telephone number to Chasm Partners — including through the Contact page or the Candidate Network form on the Site, or in the course of a search process — you consent to receive text (SMS) messages from Chasm Partners at that number, including messages sent using automated technology. Such messages may relate to search engagements, position opportunities, interview scheduling, and follow-up regarding your candidacy or a client engagement.
Consent to receive text messages is not a condition of being considered for any position or of receiving any service from Chasm Partners.
Message frequency varies. Message and data rates may apply.
You may opt out at any time by replying STOP or UNSUBSCRIBE to any text message you receive from us. Following an opt-out request, we will send a single confirmation message and will not send you further text messages unless you subsequently opt in again. For assistance, reply HELP to any text message or contact us using the information set forth below.
Carrier participation may vary, and mobile carriers are not liable for delayed or undelivered messages. Text messages are also subject to our Privacy Policy.
PRIVACY
Your use of the Site is also subject to our Privacy Policy, which describes how we collect, use, and disclose personal information, including information submitted through the Site. The Privacy Policy is incorporated into these Terms by reference.
THIRD-PARTY LINKS
The Site may contain links to third-party websites or resources, including social media platforms. These links are provided for your convenience only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. Your use of third-party websites is subject to the terms and policies of those websites.
DISCLAIMER OF WARRANTIES
THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CHASM PARTNERS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO REPRESENTATION OR WARRANTY AS TO THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT ON THE SITE.
LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CHASM PARTNERS, ITS AFFILIATES, OR THEIR RESPECTIVE MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY CONTENT ON THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS EXCEED ONE HUNDRED DOLLARS ($100). THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Chasm Partners, its affiliates, and their respective members, managers, officers, employees, agents, and representatives from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site, including any use of the Site’s content other than as expressly authorized in these Terms. THIS INDEMNITY IS IN ADDITION TO, AND NOT IN LIEU OF, ANY OTHER INDEMNITIES SET FORTH IN A SEPARATE WRITTEN AGREEMENT BETWEEN YOU AND CHASM PARTNERS.
GOVERNING LAW AND JURISDICTION
These Terms and any dispute or claim arising out of or related to them or the Site shall be governed by and construed in accordance with the laws of the State of Connecticut, without giving effect to any choice-of-law or conflict-of-law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal or state courts located in Fairfield County, Connecticut, and you waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.
CHANGES TO THESE TERMS
We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes, as they are binding on you.
GENERAL PROVISIONS
These Terms, together with the Privacy Policy, constitute the sole and entire agreement between you and Chasm Partners regarding the Site and supersede all prior and contemporaneous understandings regarding the Site. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect. No waiver by Chasm Partners of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
